Canada - US Cross Border Company Structures

We've been getting a lot of questions about cross-border structures for Canadian companies. Many venture firms in the US are OK with investing in Canadian companies, but some have restrictions that only allow them to invest in US companies. YCombinator requires the creation of a Delaware corp.
